to Integrate Software Licensing and Electronic Software Delivery

Globetrotter GTlicensing™ to be integrated into GlobalWare’s PowerCommerce™ suite for eBusiness Services

REDWOOD CITY and SANTA CLARA, California-(BUSINESS WIRE)--Monday, April 1, 2002- GlobalWare Solutions, a world leader in Software Contract Manufacturing, eBusiness Services and Electronic Software Delivery and Management (ESDM), and the Globetrotter Software division of Macrovision Corporation (Nasdaq: MVSN), a world leader in Digital Rights Management technologies, announced today that they have signed an alliance agreement whereby GlobalWare has integrated Globetrotter’s GTlicensingTM electronic license distribution application within GlobalWare’s PowerCommerceTM suite of eBusiness services.

Globetrotter’s GTlicensing product provides software vendors with extensive capabilities to configure, deliver and manage electronic licenses. It is a companion product to FLEXlm, and provides an enterprise-class solution to support a wide range of licensing functions. In particular, it provides for automatic generation and distribution of licenses over the Internet, 24 hours a day, 7 days a week.

FLEXlm, Globetrotter Software’s flagship product, is the industry’s de facto standard Electronic Licensing technology. FLEXlm enables software companies to offer flexible license terms, and makes licensing of software and software updates easy. FLEXlm offers a large variety of options for licensing practices, such as Internet distribution of software and updates, while ensuring that vendors are fairly compensated in the process. Software vendors have to date shipped over $40 billion worth of software using Globetrotter’s FLEXlm electronic licensing technology.

By embedding GTlicensing within PowerCommerce, GlobalWare Solutions offers software vendors unique capabilities to market, sell, and deliver FLEXlm®-licensed software products and FLEXlm licenses digitally or physically. This also offers their end-users web-based license asset management. PowerCommerce comes with advanced e-marketing, merchandising, transaction processing, digital and physical fulfillment, reporting, business integration, and security capabilities.

This alliance between Globetrotter and GlobalWare Solutions enables software vendors to outsource both their electronic and physical product delivery and licensing functions to one vendor with a proven track record in global software manufacturing, marketing, selling, delivery, as well as end-user management of licenses and licensed software via the web. At the same time, the integrated solution will help improve the end-user experience, providing a key incentive for software vendors to adopt electronic licensing and electronic delivery along with their traditional CD-ROM packaged products. Both companies will jointly market this new service.
